Unimicron Appointed an External Professional Independent Institution to Execute the Performance Evaluation of the Board of Directors in 2022 for the First Time

In order to implement corporate governance and enhance the functions of the Board of Directors, the company has formulated the "Board Performance Evaluation Method" in January 2020, and approved by the board of directors, which stipulates that internal board performance evaluation should be carried out at least once a year, and should be evaluated by an external professional independent organization or a team of external experts and scholars at least once every three years.

The Company engaged with an external independent institution, Taiwan Corporate Governance Association (TCGA), to conduct an assessment of board performance in September 2022 for the first time. The organization evaluated the board of directors by means of online self-assessment questionnaire and 2023/02/09 video interview on eight major components, including 1. board composition, 2. board guidance, 3. board authorization, 4. board supervision, 5. board communication, 6. internal control and risk management, 7. board self-regulation, and 8. other aspects, such as board meetings and supporting systems, etc. The TCGA presented the evaluation report on February 18, 2023. TCGA’s overall assessment and recommendations will report to the board of directors.
