We are a listed company in Taiwan (Stock Code: 3037) and operates mainly based on the six principles defined in the Corporate Governance Best-Practice Principles for TSEC/GTSM Listed Companies for corporate governance. The main contents are listed below:
1.
Establish an Effective Organization Structure for Corporate Governance
Unimicron implements corporate governance matters mainly through a comprehensive and effective corporate board with an auditing office to assess and report on the internal control system.

2.Ensure Shareholders' Rights
Company regularly notifies and holds shareholder meetings according to the law to review major operation issues. The results are posted on Market Observation Post System for shareholders. We also provide an inquiry window and various channels to allow shareholders to fully understand the company’s management and operations to protect shareholder interests.
3. Strengthen Functions of Board of Directors
According to the procedure for board of directors meetings, meetings are held every quarter to audit corporate management performance and discuss important strategic issues. Board members are highly disciplined, and when a conflict of interest exists for a member, he/she must excuses him/herself during the discussion. Attendance and continuing education information is disclosed in the Annual Report, so external investors and shareholders can fully comprehend the operation of the board.
4.Utilize Supervisors' Power
The company Supervisor oversees the execution of business strategies, provides appropriate recommendations on audit reports, and attends board meetings to understand board operations. In 2004, the Board approved "Ethical Conduct of Directors, Supervisors, and Managers," to further strengthen corporate governance work.
5. Respect the Rights and Interests of Stakeholder
Company values the rights of the banks, creditors, employees, consumers, suppliers, society and stakeholders. In addition to the relevant services by related departments such as Finance, Human Resources, Materials Management, etc., company’s Employee Welfare Committee holds regular meetings to review and improve employee welfare.

Enhance the Transparency of Information
Company holds Investors Conference every quarterly to announce consolidated financial data, operation results, and future plans. The information is also posted on the Market Observation Post System for investors. Every year, we attend various investment conferences,visit foreign investors for face-to-face communication to respond to inquiries. In addition, we are evaluated by Securities & Futures Information Center (Taiwan) on information transparency and disclosure in Taiwan every year. There are five categories of evaluation criteria, which are “Compliance with the Mandatory Disclosures,” “Predictability,” “Timeliness,” “Annual Report,” and “Web Site,” Unimicron is in Grade A recognitions.
